TERMS OF SERVICE

OVERVIEW

This website, online store and related services are operated by New Zealand Green Health Limited, trading as NZ Green Health (“NZ Green Health”, “we”, “us” or “our”).

Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer our products and services to you.

These Terms of Service (“Terms”) apply when you visit our website, create an account, place an order, purchase a product or otherwise use our website, Shop store or related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms, our Privacy Policy, Return and Refund Policy, and Shipping Policy. If you do not agree, you must not use the Services.

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986.

SECTION 1 – ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old, or the age of majority in your place of residence, to place an order. If you permit a minor to use the Services, you are responsible for supervising their use.

You must provide accurate, current and complete information when creating an account or placing an order. You are responsible for keeping your account credentials secure and for activity conducted through your account.

You must notify us promptly if you believe your account has been accessed without authorisation.

SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We take reasonable care to ensure that product descriptions, photographs, ingredients, quantities and prices are accurate. However, packaging, labels, colours and appearance may change or appear differently depending on your screen or device.

Always read the product label, ingredient list, warnings and directions before use. Information on our website is provided for general information only and does not replace the product label.

We may update product information, limit quantities or discontinue products without prior notice. Product availability is not guaranteed.

SECTION 3 – HEALTH AND SUPPLEMENT DISCLAIMER

Our dietary supplements, foods, cosmetics and wellness products are not intended to diagnose, treat, cure or prevent any disease. Product descriptions and other information provided through the Services are not medical advice and should not be relied upon as a substitute for professional medical advice.

Consult a qualified healthcare professional before using a supplement if you:

  • are pregnant or breastfeeding;

  • are taking prescription or other medication;

  • have a medical condition;

  • have allergies or sensitivities;

  • are purchasing a product for a child; or

  • are uncertain whether a product is suitable for you.

Use products only as directed on their labels. Do not exceed the stated dose. Stop using a product and seek appropriate medical advice if you experience an adverse reaction.

Individual results may vary. We do not guarantee that any product will produce a particular health or wellness result.

SECTION 4 – ORDERS AND ACCEPTANCE

When you submit an order, you are making an offer to purchase the selected products.

An automatic order confirmation acknowledges that we have received your order but does not necessarily mean that the order has been accepted. The order is accepted when we confirm dispatch or otherwise expressly confirm acceptance.

We may decline, limit or cancel an order where reasonably necessary, including when:

  • a product is unavailable;

  • product or pricing information contains an error;

  • payment cannot be authorised;

  • we suspect fraud, misuse or unauthorised resale;

  • an order breaches an import, export or regulatory restriction; or

  • we cannot deliver to the selected destination.

If we cancel an order after payment has been received, we will refund the applicable amount to the original payment method.

Please check your order and delivery information carefully before submitting it. Contact us promptly if a correction is required. We cannot guarantee that an order can be changed or cancelled after processing begins.

Unless separately agreed in writing, purchases made through our online retail store are intended for personal or household use and not for commercial resale.

SECTION 5 – PRICES, CURRENCY AND PAYMENT

Prices are displayed in the currency shown at checkout. Prices, promotions and discounts may change without notice, but changes will not affect an order already accepted by us.

Applicable New Zealand GST is included where required. International orders may be subject to customs duties, import taxes, brokerage fees or other government charges that are not included unless expressly stated at checkout.

You agree to provide complete and accurate billing and payment information. By submitting payment details, you confirm that you are authorised to use the selected payment method.

Payments are processed by Shopify Payments or other authorised payment providers. We do not directly retain complete payment card details.

If a pricing or product information error is identified before dispatch, we may contact you to confirm whether you wish to proceed at the correct price or cancel the affected item for a refund.

SECTION 6 – SHIPPING AND INTERNATIONAL ORDERS

We ship within New Zealand and to selected international destinations. Available destinations, delivery services and shipping charges are shown at checkout.

Delivery timeframes are estimates only. Delays may occur due to carriers, customs, weather, public holidays or other events outside our reasonable control.

International customers are responsible for checking whether products may lawfully be imported, possessed and used in their destination country. Customs authorities may inspect, delay, refuse or seize a shipment.

Unless checkout expressly states that duties and taxes are prepaid, the recipient is responsible for customs duties, import taxes, brokerage charges and related fees imposed by the destination country.

We are not responsible for delays or losses caused solely by a customer providing an incorrect address, failing to collect a parcel, refusing delivery, or failing to comply with local import requirements. This does not limit any rights that cannot lawfully be excluded.

SECTION 7 – RETURNS, REFUNDS AND CANCELLATIONS

Returns, exchanges and refunds are handled in accordance with our Return and Refund Policy.

Our voluntary change-of-mind return policy is additional to, and does not replace, your statutory rights. If a product is faulty, unsafe, materially different from its description or otherwise fails a statutory consumer guarantee, you may be entitled to a repair, replacement, refund or other remedy required by applicable law.

International customers may also have mandatory cancellation or return rights under the laws of their country. Where those rights apply, they take priority over any inconsistent part of our voluntary return policy.

SECTION 8 – PROMOTIONS AND DISCOUNT CODES

Promotions and discount codes may be subject to separate conditions, expiry dates, product exclusions and usage limits.

Unless otherwise stated, promotional offers cannot be combined, exchanged for cash or applied retrospectively to completed orders.

We may cancel or correct a promotion affected by an obvious error, fraud, misuse or technical malfunction.

SECTION 9 – ACCURACY OF INFORMATION

We may correct errors, inaccuracies or omissions relating to product descriptions, pricing, availability, promotions, shipping charges or delivery estimates.

We may update information or cancel an affected order where reasonably necessary. If an accepted order is cancelled because of our error, we will refund the affected amount.

SECTION 10 – ACCEPTABLE USE

You may use the Services only for lawful purposes.

You must not:

  • violate any applicable law or regulation;

  • infringe our rights or the rights of another person;

  • provide false, fraudulent or misleading information;

  • introduce viruses, malicious code or harmful technology;

  • attempt to gain unauthorised access to the Services or another account;

  • interfere with the security or operation of the Services;

  • collect personal information without authority;

  • use the Services to send spam or unlawful communications;

  • use automated tools to scrape, copy or extract content without our written permission; or

  • use our Services, branding or content for unauthorised commercial purposes.

We may restrict or suspend access where we reasonably believe these Terms have been breached or where necessary to protect customers, our business or the Services.

SECTION 11 – INTELLECTUAL PROPERTY

Unless otherwise stated, the website and its contents—including our trading name, logos, product photographs, text, graphics, videos, designs and layout—are owned by or licensed to New Zealand Green Health Limited and are protected by applicable intellectual property laws.

You may access the Services for personal, non-commercial shopping purposes. You may not reproduce, distribute, modify, republish, sell or commercially exploit our content without prior written permission.

Shopify’s names, logos and services belong to Shopify or its licensors. Other third-party names and trademarks belong to their respective owners.

SECTION 12 – THIRD-PARTY SERVICES AND LINKS

The Services may contain links to, or integrations with, third-party websites and services, including payment, delivery, analytics and social-media providers.

We do not control independent third-party websites and are not responsible for their content, availability or privacy practices. Your use of a third-party service may be governed by that provider’s own terms and policies.

Nothing in this section limits responsibility that cannot lawfully be excluded.

SECTION 13 – RELATIONSHIP WITH SHOPIFY

Our store is powered by Shopify. Purchases made from our store are transactions directly between you and New Zealand Green Health Limited, not between you and Shopify.

To the extent permitted by law, Shopify is not responsible for the products we sell, our product information, fulfilment, customer service, refunds or other aspects of transactions between you and us.

Nothing in this section excludes any liability or right that cannot lawfully be excluded.

SECTION 14 – PRIVACY

We collect, use, store and disclose personal information in accordance with our Privacy Policy and applicable privacy law, including the New Zealand Privacy Act 2020.

Because Shopify hosts our store, Shopify processes certain personal information to operate and improve the ecommerce platform. We may also use service providers located outside New Zealand for payment processing, fulfilment, customer communication, analytics and other business functions.

Please review our Privacy Policy for details about the information we collect, why we collect it, how it may be shared and how you can exercise your privacy rights.

SECTION 15 – REVIEWS AND FEEDBACK

If you submit a review, photograph, suggestion or other content (“Feedback”), you confirm that:

  • you created it or have permission to submit it;

  • it is accurate and not misleading;

  • it does not infringe another person’s rights;

  • it does not contain unlawful, defamatory, abusive or malicious material; and

  • any incentive or compensation connected with the Feedback has been disclosed.

You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit and display the Feedback for operating and promoting our business and Services.

We may moderate or remove Feedback that breaches these Terms or applicable law. We are not required to publish every submission.

SECTION 16 – DISCLAIMER OF WARRANTIES

To the extent permitted by law, the Services are provided on an “as available” basis. We do not guarantee uninterrupted access, error-free operation or that all information will always be complete and current.

Nothing in these Terms excludes or limits any guarantee, warranty, condition, right or remedy imposed by law that cannot be excluded or limited.

For New Zealand consumers, this includes applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

SECTION 17 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss that was not reasonably foreseeable when the relevant contract was formed.

We are not responsible for loss caused by:

  • your failure to follow product labels, warnings or instructions;

  • unauthorised or improper use of a product;

  • information or circumstances you failed to disclose;

  • an incorrect delivery address supplied by you;

  • destination-country import restrictions; or

  • events outside our reasonable control.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

SECTION 18 – INDEMNITY

To the extent permitted by law, you agree to compensate us for reasonable direct loss, damage or expense caused by your unlawful use of the Services, your infringement of another person’s rights, or your material breach of these Terms.

This obligation does not apply to loss caused by our negligence, breach of law or failure to comply with these Terms.

SECTION 19 – EVENTS OUTSIDE OUR CONTROL

We are not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, severe weather, epidemics, government action, customs delays, industrial disputes, transportation interruptions, telecommunications failures or payment-network failures.

We will take reasonable steps to minimise the effect of such an event and resume performance when reasonably possible. Your mandatory statutory rights remain unaffected.

SECTION 20 – SUSPENSION AND TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access where reasonably necessary because of fraud, unlawful conduct, security risks, non-payment or a material breach of these Terms.

Termination does not affect rights and obligations that arose before termination. Provisions intended by their nature to continue—including intellectual property, liability, privacy and governing-law provisions—will survive termination.

SECTION 21 – SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

SECTION 22 – WAIVER AND ENTIRE AGREEMENT

A failure or delay in enforcing a right does not waive that right.

These Terms and the policies incorporated into them form the agreement governing your use of the Services and replace earlier versions relating to the same subject matter.

If these Terms conflict with a mandatory consumer law, the mandatory law will prevail.

SECTION 23 – ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer our rights or obligations as part of a genuine sale, restructuring or transfer of our business, provided that doing so does not reduce any mandatory consumer rights.

SECTION 24 – GOVERNING LAW

These Terms are governed by the laws of New Zealand.

You and New Zealand Green Health Limited submit to the non-exclusive jurisdiction of the courts of New Zealand. If you are an international consumer, this section does not deprive you of mandatory consumer protections or rights available under the laws applicable in your country of residence.

SECTION 25 – CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our Services, business practices or legal obligations.

The current version will be published on this page with its effective date. Material changes will be communicated where required by law.

Changes will not retrospectively alter an order already accepted unless required by law or agreed with you.
